Discussion

The School Board owns approximately 28.3 acres of vacant land, located along North Courtenay Parkway, McGruder Road, and North Tropical Trail, in unincorporated Brevard County, referred to as the Sullivan Groves Property. Pursuant to Florida Statutes, District real property may be disposed of only after having been recommended in an educational plant survey and being officially declared unnecessary or unsuitable for educational or ancillary purposes by resolution of the Board. The School Board approved Resolution 2021-5 on June 8, 2021.

The property has been advertised for sale through the District's real estate broker since June, 2021.

At the October 26, 2021 School Board meeting, the Board approved a contract for sale to SE Grand LLC (represented by Steve Emtman)  in the amount of $1,500,000.00, contingent upon a due diligence period of 120 days to determine if the property is suitable for the buyer's intended use. The due diligence period expired and the buyer was unable to close within the terms of the approved contract, forfeiting the deposits in the amount of $81,000.00 held in escrow.  The title company has release those funds to the District, which have been allocated to the project to relocate the Satellite Bus and Mid South Transportation/Maintenance facilities as directed by the Board on October 26, 2021. 

The Broker is presenting a new contract for sale to the Defender Homes Airway Heights LLC, represented by Steve Emtman, in the amount of $1,500,000.00, subject to an $81,000.00 credit at closing, towards the buyers remaining cash to close. Should the buyer not close on or before May 16, 2022, the credit no longer applies. The contract is assignable to one of the buyer's existing companies as specified within the contract. The Broker's commission is 4.25% for the first $1 million, and 4% for the remaining $500,000, which will be paid from the proceeds of the sale.  Staff recommends approval of the new contract and the allocation of the net proceeds to the project to relocate the Satellite Bus and Mid South Transportation/Maintenance facilities. 

 

Recommendation

Authorize the Superintendent, or designee, to execute the contract for the sale of the Sullivan Groves Property to Defender Homes Airway Heights LLC. 

Approve the allocation of the net proceeds to the project to relocate the Satellite Bus and Mid South Transportation/Maintenance facilities.
